[WIP #3] - A United Front: Abracadabra + Wonderland Merge

It seems like there are 210B SPELL (and not sure if they can issue more). Only 46% or 98B is being offered for the whole Wonderland treasury when all of SPELL is worth less than Wonderland treasury. This doesn’t make sense to me using sifu analogy of cookies unless after you merge the wMEMO retains same percentage of the whole I.e. gets 55% of total SPELL to the Wonderland owners.

The merger doesn’t even offer fmv, let alone a premium. This deal makes no sense at all to me. Lots of solid points made here. It makes no sense to sell wonderland for a discount to SPELL. Maybe they could come back with a proposal that makes sense for Wonderland to buy SPELL at a discount. But we would need to see it.

Lets put this up for a vote so we can figure out if we are moving forward with this project or merging. Personally dont want to merge want to drive forward here as I dont see the upside to the merge and basically be locking in losses if we merge.

Maybe it’s a good idea, but for me there is a big problem with that proposal.

Like very often with wonderland, no one explains much about how that would work for all the frogs with small wallets and those with big wallets that hold time from a lot of time :wink:

  1. Will both treasuries be merged and if yes how it will work

  2. Who and how will decide how much SPELL for wMEMO we get (will it be $40,827 that’s now on Wonderland website or maybe with all that’s happening right now in day of merger wMEMO backing will be $1000 or some totally different system )

  3. What % of treasury will each frog get, will it be kept somehow similar to what we have now just diluted because of treasury merger, or we will buy in for what wMEMO is worth at the moment of merger.

  4. I don’t use abracadabra, so it would be nice to know how profits will be made and split

  5. Will there be buybacks (I don’t like that idea, but lot of frogs want to know)

  6. Transaction fees (do You want small wallet frogs to pay gas fees on Ethereum, because it’s kind of hard to imagine).

  7. Last from me for now at least :slight_smile: what would be a roadmap for us after the merger

I know that for now it’s just a discussion, but I think that in a situation like this giving half plan and what more, not educating frogs about possible consequences of merger for them is kind of asshole move.

I really like the idea of frog nation especially all that Daniele and frogs say about each frog being equal but for all of as to be equal we have to be all equally informed what will be consequences for every and each of us.

I’m not saying that I’m totally against this proposal but for Frog’s sake! Please don’t vote if You don’t have all the information and knowledge about the impact of that decision on You and every one else in the pond.

Thank’s it’s great and important read I think everyone here should check it out as it shows nice or rather not so nice perspective, on how this can end for everyone here.

Its funny reading this from the Abra perspective. Most of the comments are a resounding “NO” for the proposed merge.

Even though I’m against “sell taxes” and “lockdown periods” if that is what it takes to save wonderland, so be it!
I invested in wonderland because I like the concept and I believe it can work.
We had TIME and MEMO then WMEMO “now” SPELL and what next???
I also got my $TIME at almost 8000 dollars back in December and I’m still keeping on holding it, BUT seems like the “concept” keeps on changing (just because of the liquidations) and I’m not sure where we are heading now…

Yep, additionally it’s a merger or rather a buyout by entity that at least to some point controlled and profited from all those closed overleveraged positions and now by a coincidence is able to buy us cheaper than let’s say weak ago.

(Maybe it’s a little bit of conspiration theory but bigger things happened when money were involved and business is business no meter if it’s over idealized crypto world or more classical banking)

The amount of backlash on BOTH sides, Wonderland AND Abra should be enough to convince any rational person that the projects are going to lose a huge portion of their following and die.

This comes AFTER many have already been turned away due to recent drops in price and liquidations.

HOW WILL THE PROJECTS GAIN BACK LOST TRUST?!?

I never leveraged anything, but I have lost faith that this turn-coat style leadership will yield any form of profit in the future for SMALL players like myself.

While I want to believe in Dani’s vision and intentions, the choices thus far have convinced me otherwise.

This is the same story as always, the big guys win.

The people on top of these projects are having frog legs for dinner.

OK big part of my life i was siting in traditional finances so maybe my poin of view is little bit different (Even that I left banking because of bullshit in it I still don’t trust others with my money ) From how I see it and from what I understand Team is maybe the same or almost the same but control structure when we look at % is a little bit different at least from what I understand and money from tresury also can be used differently.

The least you can do is create a swap ratio to spell that is as close as possible to the initial investment per price range. So not 1 fixed price for everyone. You could sort investors by when they get in to the project to see for what price they bought.

That way you meet most people and it is fair for everyone.

For example.

Peice ranges could be:
ATH - 100k = swap ratio 100k
100k - 80k = swap ratio 80k
80k - 50k = swap ratio 50k
50k - ATL = swap ratio 25k

Someone who invested 20k when wMemo was 110k and hodl should get a higher swap ratio than someone who invested 20k when wMemo was 30K.

I didn’t do the math but you get the idea right.
I’ve no doubt that you will to the best within your possibilities ser. It may take time, but it’s all data and it can be traced. If necessary, professionals could be hired to figure this data out. It would be worth to rewarfs holders, because holders are fighting against the fudders.

The P/E ratio is super uncompetitive.

1.) Treasury is producing $1 million a day = $365 million/yearly.
2.) The betswap and NFT game investments are expected to increase in value over time.

And Wonderland frogs are being paid at a price of $40k per wMEMO? Especially after we’ve all seen 70% drops?

This sucks a lot. And I know this will be voted in because the powers that may be have the most capital.

Trust me … I know the remaining holders will all be in the green again. But this feels like a hostile takeover that the small frogs have no choice but submit to.

I feel trapped. I feel like we have frogs have no agency in this decision.

A further problem that this loss of trust creates:

When the next “visionary” comes along with great intentions of leveling the financial playing field for the small guys,

They are going to say " Here comes another Wonderland "

Price down was pre-planned to impose merge with Abracadebra. Price went down, people are worried to lose more, so psychologically Sifu and Dani putting pressure on every investor’s mind for vote to proceed. It’s their game plan. Sifu and Dani took all the money in front of our eyes.

In theory Yes it would be nice but from what I saw on abracadabra forum some frogs from another side of the pond think that wonderland current value is still to high because of risks involved so I don’t think this will happen, max that they will probably offer is “few percent” above wonderland treasury value or in different words somewhere around current backing price (not my idea just what I saw on other side, on abracadabra they like a little safer side of crypto and also want the best deal possible)

Abra offering 40k per wMEMO. Backing price is around 41k per wMEMO now.

Basically Abra is paying at-market cost to get 365 million in revenue per year. Also the expected increase in value with the Betswap/NFT game investments.

This is an INSANE deal for Abra. We should be paid HIGHER than 40k … there needs to be a premium to the earnings.

So that brings up a valid point. How does this deal benefit us the holders and is it wise to do when we are below the backup price?
How big of discount for them is that?
